Indigo Books & Music Inc. (“Indigo”) was formed by the August 16, 2001, amalgamation of Chapters Inc. and Indigo Books & Music Inc. and is governed by the Business Corporations Act (Ontario). Subsequently, Indigo amalgamated on April 3, 2004, with Chapters Online Inc., and amalgamated on April 3, 2005, with CCBC Holdings (2001) Inc. and 1526656 Ontario Limited. Previously, Chapters Inc. was formed by the April 11, 1995, amalgamation of Coles Book Stores Limited and FICG Inc. All amalgamations were made pursuant to the laws of Ontario.
Pursuant to its amalgamation on April 3, 2005, Indigo has adopted the Amended and Restated By-Law No. 1 of Chapters Inc.
